INTESA SANPAOLO: FIDEURAM VITA
Torino, Milano, 19 March 2010 – At a meeting held today, the Intesa Sanpaolo Management Board, chaired by Enrico Salza, approved the intercompany transfer of EurizonVita’s interests in the to-be-formed Fideuram Vita.
Fideuram Vita will be formed by EurizonVita through a spin-off of the division servicing the network of personal financial advisors of Banca Fideuram and Sanpaolo Invest. As of the end of December 2009, technical reserves held by EurizonVita related to this division amounted to approximately 11 billion euro while premiums amounted to approximately 570 million euro.
EurizonVita will transfer an 80.1% interest in Fideuram Vita to Intesa Sanpaolo and the remaining 19.9% to Banca Fideuram. The transaction will be submitted for approval to the boards of the two subsidiaries over the next few days.
100% of the interests in Fideuram Vita were valued at 500 million euro, as attested in an opinion issued by KPMG Advisory S.p.A. – Corporate Finance.
The transaction is subject to the approval of the relevant Regulatory authorities.
