Intesa Sanpaolo Vita increases stake in Intesa Sanpaolo RBM Salute to 100%

Intesa Sanpaolo and Intesa Sanpaolo Vita have approved the purchase of the remaining 26.2% of Intesa Sanpaolo RBM Salute still owned by the Favaretto family (through RBH) for €360 million, in advance of the exercise of the two call options, initially set for 2026 and 2029.

By increasing synergies with the Intesa Sanpaolo Group, the transaction aims to support the improvement of customer services, quality standards and control over the services offered. In further detail:

  • increased supervision and control of services by Intesa Sanpaolo RBM Salute
  • reformulation of the policy portfolio managed by Previmedical
  • increase in fixed consideration against an improvement in measured service levels
  • simultaneous capital increase for Previmedical of €8 million by RBH to support its operational development and the higher quality standards offered to customers

The development of the health sector is a key element in the growth of Intesa Sanpaolo's Insurance Division, and today's transaction also confirms the role of Previmedical, with its medical network of over 113,000 facilities and contracted doctors in Italy.

Intesa Sanpaolo Vita had acquired a stake of 50% plus one share from RBH in 2020 for €325 million; at the end of 2021, a capital enhancement transaction was approved, but RBH did not participate, diluting its interest to 26.2%.

In 2022 Intesa Sanpaolo Vita inhoused the claims and health network management service by setting up its subsidiary InSalute Servizi.
