The Extraordinary Shareholders’ Meeting of Banca Commerciale Italiana (France) and Banca Intesa (France), held today in Paris, acknowledged the accomplishment of all legal procedures for the merger of Banca Intesa (France) in Banca Commerciale Italiana (France).
The Board of Directors of Banca Commerciale Italiana (France) met today after the Shareholders’ Meeting under the chairmanship of Gennaro Stammati and resolved:
- merge Banca Intesa (France) in Banca Commerciale Italiana (France);
- to modify the corporate name of Banca Commerciale Italiana (France) in Banca Intesa (France);
- to appoint Eugenio Guicciardi as new General Manager of Banca Intesa (France);
- to modify the Articles of Associations consequently.
The share capital of the new Banca Intesa (France), at the end of the exchanging operations, amounts to Euro 160,270,853.25 fully paid-in.
The merger, in accordance with French regulations, comes into legal effects as of 1st September 2003. The accounting effects start from 1st January 2003.
