INTESA SANPAOLO: MERGER BY INCORPORATION OF BN FINRETE S.p.A. IN LIQUIDATION INTO INTESA SANPAOLO S.p.A.
Torino, Milano, 15 September 2011 – Intesa Sanpaolo notifies that today, the same time as the request for registration with the Torino Company Register, the minutes of the Management Board meeting held on 6 September 2011 were filed with and made available to the public at the Company’s Registered office and at Borsa Italiana S.p.A. At the aforementioned meeting, the Management Board approved – pursuant to art. 2505, par. 2, of the Italian Civil Code, as provided for by art. 17.2 of the Articles of Association – the merger by incorporation of BN Finrete S.p.A. in liquidation (an Intesa Sanpaolo wholly-owned company) into Intesa Sanpaolo S.p.A.
