INTESA SANPAOLO: BOARD OF DIRECTORS
Turin - Milan, 2 December 2019 – At its meeting today, the Board of Directors of Intesa Sanpaolo acknowledged Giovanni Gorno Tempini’s resignation and, in accordance with Article 15.3.1 of the Articles of Association, replaced the outgoing Director by co-opting Andrea Sironi as a new Director, a favourable opinion having been expressed by its Nomination Committee.
Andrea Sironi declared his compliance with the independence requirement set forth in Article 148, third paragraph, of Legislative Decree 24 February 1998 no 58 and in Article 13.4.3 of the Articles of Association, also in accordance with the Corporate Governance Code of Listed Companies promoted by Borsa Italiana.
