INTESA SANPAOLO: BOARD OF DIRECTORS
Turin - Milan, 18 December 2019 – The Board of Directors of Intesa Sanpaolo has verified that Director Andrea Sironi, who was co-opted onto the Board on 2 December 2019, meets the regulatory requirements, as well as the provisions included in the Articles of Association.
Specifically, with regard to the independence requirements, Andrea Sironi meets the requirement pursuant to Article 148, third paragraph, of Legislative Decree 24 February 1998 no 58 and Article 13.4.3 of the Articles of Association, also in accordance with the Corporate Governance Code of Listed Companies promoted by Borsa Italiana. This is based on the declarations made by the director himself, as well as information available with the Company.
With respect to the Board of Directors’ internal committees, from today Andrea Sironi replaces Giovanni Gorno Tempini on the Remuneration Committee and on the Committee for transactions with related parties of Intesa Sanpaolo S.p.A. and associated entities of the Group.
Andrea Sironi did not hold Intesa Sanpaolo shares as at the date of his appointment by co-optation as a Board Director.
