INTESA SANPAOLO: FILING NOTICE

Turin - Milan, 24 July 2026 – Intesa Sanpaolo communicates that, in accordance with the regulations in force, the following documents, concerning the only item on the agenda of the Extraordinary Shareholders' Meeting convened, on single call, for 10 September 2026, were made available today at the Company’s Registered Office, as well as on the authorised storage system eMarket STORAGE and at group.intesasanpaolo.com:

-      the explanatory report of the Board of Directors prepared in accordance with Article 2441, paragraph 6, of the Italian Civil Code and Article 70, paragraph 4, of the Issuers’ Regulation, as well as with Article 125-ter of the CFA;
-      the information document prepared pursuant to Article 70 of the Issuers’ Regulation;
-      the valuation report prepared by Deloitte Advisory S.r.l. S.B. pursuant to Article 2343-ter, paragraph 2, letter b), of the Italian Civil Code, concerning the valuation of the shares of Banca Monte dei Paschi di Siena S.p.A. that will be contributed in kind;
-      the report prepared by EY S.p.A. in accordance with ISAE – International Standard on Assurance Engagements 3000 Revised, regarding the criteria used by the Board of Directors of Intesa Sanpaolo for determining the exchange ratio in the context of the voluntary public tender and exchange offer promoted by Intesa Sanpaolo, pursuant to Articles 102 and 106, paragraph 4, of the CFA and the applicable implementing provisions set out in the Issuers’ Regulation, on all the shares of Banca Monte dei Paschi di Siena S.p.A..
