INTESA SANPAOLO:  EXECUTION OF PROGRAMME OF PURCHASE OF OWN SHARES FOR ANNULMENT
IN THE PERIOD 31 AUGUST - 4 SEPTEMBER 2026

Turin - Milan, 7 September 2026 – With reference to the execution of the programme of purchase of own shares for annulment (buyback), which was disclosed to the market on 29 June 2026 and launched on 6 July 2026, Intesa Sanpaolo, pursuant to applicable regulations, communicates that - on the basis of information provided by BNP Paribas SA, the third-party intermediary appointed to execute the programme in full independence and without any involvement of the Intesa Sanpaolo Group - from 31 August to 4 September 2026 the Bank executed the purchase transactions summarised in the table below on the regulated market Euronext Milan managed by Borsa Italiana.

From 31 August to 4 September 2026, Intesa Sanpaolo purchased a total of 37,056,000 shares, equal to around 0.21% of its share capital, at an average purchase price of 6.6941 euro per share, for a total amount of 248,057,243.80 euro.

As at 4 September 2026, Intesa Sanpaolo had purchased a total of 254,166,755 shares since the launch of the programme, equal to around 1.44% of its share capital, at an average purchase price of 6.5616 euro per share, for a total amount of 1,667,744,084.79 euro.

As already disclosed, purchases in execution of this programme are suspended during the period of execution of the share buyback programme - launched today - relating to plans of assignment, free of charge, of Intesa Sanpaolo ordinary shares to employees.
