INTESA SANPAOLO: EXTRAORDINARY SHAREHOLDERS’ MEETING
Turin - Milan, 10 September 2026 – The Extraordinary Shareholders’ Meeting of Intesa Sanpaolo was held today. The Meeting was validly constituted, on single call, to pass resolutions as those in attendance through the Designated Representative, in accordance with Article 106, paragraph 4, of Decree Law no. 18 dated 17 March 2020 converted by Law no. 27 dated 24 April 2020, the effects of which were most recently extended by Law no. 26 dated 27 February 2026, counted 4,889 holders of voting rights attached to 11,296,286,078 ordinary shares without nominal value representing 63.88413% of the share capital.
The Shareholders approved the proposal relating to the only item on the agenda regarding the power of the Board of Directors, to be exercised by 10 September 2027, to increase the share capital, in one or more tranches, with issuance of maximum no. 5.7 billion ordinary shares - whose issuance price shall be determined pursuant to the provisions of law and the power granted to the Board of Directors - to be paid up by way of contribution in kind functional to the voluntary public tender and exchange offer on all the ordinary shares of Banca Monte dei Paschi di Siena S.p.A., promoted by Intesa Sanpaolo, announced on 8 June 2026. Votes in favour were 10,952,907,059, equivalent to 96.96025% of the ordinary shares represented at the Meeting.
With regard to the statutory changes approved by the Shareholders' Meeting, the required authorisations
have already been issued by the Supervisory Authority, which has also authorised the inclusion in Intesa Sanpaolo’s Common Equity Tier 1 of the shares to be issued in the context of the capital increase functional to the offer.
