PRESS RELEASE
pursuant to article 36 of the Regulations adopted by CONSOB with resolution no. 11971 of 14 May 1999,
as subsequently amended and supplemented (the “Issuers’ Regulations”)
INTESA SANPAOLO ANNOUNCES THAT THE OPAS GOES AHEAD, FOLLOWING THE OUTCOME OF THE SHAREHOLDERS’ MEETING OF BANCA MONTE DEI PASCHI DI SIENA HELD ON 29 OCTOBER 2026
Turin - Milan, 30 October 2026 – Further to what was announced on 3 October 2026 and in light of the outcome of the shareholders’ meeting of Banca Monte dei Paschi di Siena S.p.A. (“MPS”) held on 29 October 2026 (the “MPS Shareholders’ Meeting”), Intesa Sanpaolo S.p.A. (“ISP”) announces that the voluntary public tender and exchange offer (the “OPAS”) promoted on all the ordinary shares of MPS goes ahead: this is because the MPS Shareholders’ Meeting did not approve the voluntary public exchange offers (the “OPSs”) on all the ordinary shares of Banco BPM S.p.A. and Banca Generali S.p.A. (and the relevant capital increases) nor the voluntary share capital reduction pursuant to art. 2445 of the Italian Civil Code functional to the extraordinary distribution of reserves, under items number 3. to 5. on the agenda for the extraordinary session of the MPS Shareholders’ Meeting.
Furthermore, as to the failure to approve - which ISP had expressed its preference for, in the press release of 3 October 2026 - the merger between MPS and Mediobanca (the “MB Merger”) under item number 1. on the agenda for the extraordinary session of the MPS Shareholders’ Meeting, ISP confirms - as already declared in the press release of 3 October 2026 - the waiver of the condition of effectiveness sub para. 1.5(vii) of the notice pursuant to art. 102 of the CFA issued on 8 June 2026, with the consequence that the OPAS will not become ineffective as a result of the failure to approve the MB Merger. In this respect, it is specified that, upon completion of the OPAS and if the relevant requirements are met, ISP will promote a mandatory public offer pursuant to the combined provisions of articles 106, paragraphs 1 and 3, letter a), of the CFA and 45 of the Issuers’ Regulations on the ordinary shares of Mediobanca not held by MPS or ISP.

ISP will continue to keep the market informed of any development relating to the OPAS according to the terms and conditions provided for by the applicable regulations.
