INTESA SANPAOLO: ADJUSTMENT OF THE EXCHANGE RATIO IN THE CONTEXT OF THE PUBLIC TENDER AND EXCHANGE OFFER ON ALL THE SHARES OF BANCA MONTE DEI PASCHI DI SIENA
Turin - Milan, 3 November 2026 – With reference to the voluntary public tender and exchange offer (“OPAS”) promoted on all the ordinary shares of Banca Monte dei Paschi di Siena S.p.A. (“MPS”), the offeror Intesa Sanpaolo S.p.A. (“ISP” or the “Bank”) announces that the exchange ratio relating to the OPAS, set out in the notice published by ISP pursuant to Article 102 of the CFA on 8 June 2026 (the “Offer Notice”), has been adjusted following the decision, at today’s meeting, of the Bank’s Board of Directors which approved the distribution of an interim dividend for 2026 of 22 euro cents.
The exchange ratio announced in the Offer Notice, equal to 1.600 newly issued ISP ordinary shares for each MPS share tendered in acceptance of the OPAS, was determined with reference to ISP shares cum dividend. This exchange ratio is, therefore, adjusted upwards to 1.664 (rounded to the third decimal place) newly issued ISP ordinary shares for each MPS share tendered in acceptance of the OPAS, so as to fully offset the effect of the detachment of the aforementioned interim dividend for 2026, which will occur on 23 November 2026 with payment on 25 November 2026.
The formula for the adjustment, applied to the official price of ISP ordinary shares recorded at the close of 5 June 2026 (the last trading day prior to the date of the Offer Notice) and equal to €5.682, is the following:
adjusted exchange ratio = (1.600 x 5.682)/(5.682 - 0.22) = 1.664.
Without prejudice to the provisions of the Offer Notice with regard to any change in the consideration of the OPAS as a result of the possible payment of a dividend or, in any event, the detachment of a dividend coupon relating to dividends (or interim dividends) already approved but not yet paid by MPS, as well as the approval or execution by MPS of any transaction relating to its share capital (including, without limitation, capital increases or reductions) and/or its own shares (including, without limitation, consolidation, buyback of treasury shares or cancellation of shares), and without prejudice to the possible application of the Conditions to the Offer (as defined in the Offer Notice).

ISP will continue to keep the market informed of any development relating to the OPAS according to the terms and conditions provided for by the applicable regulations.
