Intesa Sanpaolo, through its IMI Corporate & Investment Banking Division, acted as financial advisor to F2i, Italy's largest independent infrastructure fund manager, in the consolidation of its activities in the energy transition segment into Sorgenia.

F2i chose Sixth Street, a leading global investment firm, as a partner to support the growth and future development of the business.

Sixth Street will acquire around 38% of Sorgenia. Sorgenia, in turn, will take over EF Solare, Renovalia, and Renovalia Tramontana — F2i-owned companies active in wind and solar power generation in Italy and Spain.

Upon execution of the agreements, F2i will own approximately 62% of Sorgenia, which will thus become one of leaders in Europe’s energy transition sector with one of the largest operating renewables portfolios across solar, wind, biomass, and hydroelectric plants.

This transaction confirms Intesa Sanpaolo's role as a key advisory partner both nationally and internationally, supporting energy transition projects and the development of sustainable solutions.
