Intesa Sanpaolo assisted Poste Italiane in the Telecom Italia transaction

Intesa Sanpaolo, through its IMI Corporate & Investment Banking Division, acted alongside Poste Italiane in the acquisition of approximately 9.81% of the ordinary shares of Telecom Italia held by Cassa Depositi e Prestiti. At the same time, the Board of Directors of Poste Italiane resolved to sell the entire 3.78% stake held by the company in Nexi to Cassa Depositi e Prestiti.

The consideration for the purchase of the Telecom Italia shares will be recognised

partly through the proceeds of the transfer from Poste Italiane to Cassa Depositi e Prestiti of the equity investment in Nexi and
partly through available cash.

As part of the transaction, Intesa Sanpaolo's IMI CIB Division assisted Poste Italiane in issuing the fairness opinion to the Company's Board of Directors for the simultaneous purchase and sale of Tim and Nexi shares and the payment of the related adjustment to Cassa Depositi e Prestiti.

With this transaction, Intesa Sanpaolo, led by CEO Carlo Messina, confirms its commitment to accompanying companies in their strategic investments and consolidation processes.
