Intesa Sanpaolo in Terna’s €2.255 billion ESG-linked Revolving Credit Facility

Intesa Sanpaolo, through its IMI Corporate & Investment Banking Division, participated in a €2.255 billion ESG-linked Revolving Credit Facility for Terna, as part of a pool of lenders including Cassa Depositi e Prestiti and other leading Italian and international banks.

The financing consists of a committed, revolving and ESG-linked credit facility that amends the previous Revolving Credit Facility signed in 2024, extending its maturity by five years and updating its ESG targets.

The Revolving Credit Facility includes specific environmental, social and governance (ESG) targets linked to an incentive and penalty mechanism.

In the transaction, Intesa Sanpaolo’s IMI Corporate & Investment Banking Division acted as Agent Bank and, together with the other financial institutions involved, as Joint Mandated Lead Arranger.

The Terna group is the owner of the Italian national transmission grid (NTG) for high and extra-high voltage electricity, and is the largest independent electricity transmission system operator (TSO) in Europe. The Group performs an essential public service, ensuring the transmission of electricity across Italy and supporting the operation of the country’s entire electricity system.
